Terms of Use
THIS IS AN AGREEMENT BETWEEN YOU OR THE ORGANIZATION YOU REPRESENT (hereinafter referred to as “YOU” or “YOUR”) AND THE APPLICABLE Zero One Touch (hereinafter referred to as “Zero One Touch”)
Contract Parts
This Agreement consists of the following terms and conditions (hereinafter referred to as the General Terms) and, if applicable, terms and conditions specific to the use of individual Services (hereinafter referred to as “Service Specific Terms”). In the event of a conflict between the General Terms and the Service Specific Terms, the Service Specific Terms shall prevail.
Acceptance of the Agreement
You must be of legal age to enter into a binding contract to accept the Agreement. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to the Service Specific Terms, do not use the relevant Service. You can accept the Agreement by checking a checkbox or clicking a button indicating that you accept the Agreement or by actually using the Services.
Service Description
Zero One Touch Services enable you to connect to different digital platforms through various tools, applications, information resources and user interactions. You are responsible for obtaining Internet access and the equipment necessary to use the Services. You may create and edit content with your user account and, if you choose to do so, you may publish and share such content.
Beta Service
We may offer certain Services as closed or open beta services (“Beta Service” or “Beta Services”) for testing and evaluation purposes. You agree that we have sole authority and discretion to determine the length of time required for testing and evaluation of Beta Services. We will be the sole judge of the success of such testing and the decision, if any, to offer the Beta Services as commercial services. As a result of your subscription to any Beta Service, you will not be obligated to obtain a subscription to use any paid Services. We reserve the right at any time and from time to time to discontinue any Beta Service, in whole or in part, temporarily or permanently, with or without notice to you. You agree that Zero One Touch shall not be liable to you or any third party for any damages of any kind related to, arising out of, or resulting from the modification, suspension or discontinuance of any Beta Service for any reason.
Free Trial
If you sign up for a free trial of one or more Services, Zero One Touch will make the applicable Services available to you free of charge on a trial basis until the earlier of (i) the end of the free trial period of the applicable Services (unless terminated earlier by you), (ii) the start date of the paid subscription period for the applicable Services, or (iii) Zero One Touch's sole discretion. All data you enter into the Services and all customizations made to the Services during the free trial will be permanently lost unless (i) you purchase the applicable paid subscription plan for the account, (ii) you purchase applicable Service upgrades, or (iii) you export such data prior to the end of the trial period.
User Registration ObligationsYou must register for a user account by providing all information necessary to access or use the Services. If you represent an organization and want to use the Services for corporate internal use, we recommend that you and all other users in your organization register for user accounts by providing your corporate contact information.In particular, we encourage you to use your corporate email address.You agree to:(i) provide true, accurate, current and complete information about yourself as requested during the registration process; and (ii) maintain and promptly update the information provided during registration to keep it true, accurate, current and complete.If you provide any information that is untrue, inaccurate, not current or incomplete, or if Zero One Touch has reasonable grounds to suspect that such information is untrue, inaccurate, outdated or incomplete, Zero One Touch may terminate your user account and refuse current or future use.Any or all of the Services.
Restrictions on UseIn addition to all other terms and conditions of this Agreement, you may not: (i) transfer or otherwise make the Services available to any third party; (ii) provide any services based on the Services without prior written consent; (iii) allow user licenses to be shared or used by more than one person, except to reassign a user license to a new user;(vii) attempt to gain unauthorized access to the Services or its related systems or network; (viii) use the Services in any way that could damage, disable, overburden, overburden, disrupt, disable, or damage any of Zero One Touch's servers, networks, computer systems, resources.
Usage Restrictions
In addition to all other terms and conditions of this Agreement, you may not: (i) transfer or otherwise make the Services available to any third party; (ii) provide any services based on the Services without prior written consent; (iii) allow user licenses to be shared or used by more than one person, except to reassign a user license to a new user; (vii) attempt to gain unauthorized access to the Services or its related systems or network; (viii) use the Services in any manner that could damage, disable, overburden, impair or damage any server, network, computer system, resource of Zero One Touch; (ix) use the Services to transmit or store material that contains software viruses, worms or other harmful computer code, files, scripts or programs;(x) use the Services in any manner that interferes with or impairs the integrity, security or performance of the Services, its components and the data contained therein; (xi) create a false identity to mislead any person as to the identity or origin of any communication; (xii) host, display, upload, modify, publish, transmit, transmit, store, update or share any information, including any personal or confidential information of any person or entity, that belongs to another person or entity and to which you do not have any right, consent or permission from that person or entity.(xiii) use the Services to mislead or transmit written or published information in any form for the purpose of misleading a person, organization or entity for financial gain or harm to any person; (xiv) violate any applicable local, state, national or international law; (xv) use the Services for any competitive or benchmarking purposes; and (xvi) remove or obscure any proprietary or other notices contained in the Services.
Spam and Illegal Activities
You agree to be solely responsible for the content of transmissions you make through the Services.You agree not to use the Services for any unlawful purpose or for the transmission of material that is unlawful, defamatory, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene or otherwise objectionable, offensive to religion, arouses emotions, promotes racism, contains viruses or malicious code, or otherwise violates anyone's privacy.
Third-Party Applications
Zero One Touch integrates with various third-party applications (hereinafter referred to as "Third-Party Application(s)"). Access to and use of Third-Party Applications may require acceptance of the terms of service and privacy policies applicable to such Third-Party Applications (hereinafter referred to as "Third-Party Terms"). You are responsible for reading and understanding the Third-Party Terms before accessing or using any Third-Party Application. You acknowledge and declare that Zero One Touch is not responsible for any Third-Party Application. While we will try to notify you in advance, where reasonably possible, you agree that Zero One Touch may, at any time and at its sole discretion, suspend, restrict, deactivate, or block access to Zero One Touch without any prior notice to you. The services will not hold any liability towards you, including but not limited to any Third-Party Application, any loss of profit, revenue, data, goodwill, or other intangible losses.
Fees and Payment
Services are offered under various subscription plans of different durations. Payments for subscription plans of less than one year can only be made via credit card. Unless you downgrade your paid subscription plan to a free plan or notify us that you do not wish to renew your subscription, your subscription will automatically renew at the end of each subscription period. During automatic renewal, the subscription fee will be charged to the most recent credit card you used. If you wish to pay for the renewal with a different credit card, we provide the option to change your payment information. If you do not wish to renew your subscription, you must notify us at least seven days before the renewal date. Unless you have switched to a free plan and notified us that you do not wish to renew your subscription, it will be assumed that you have authorized Zero One Touch to charge the subscription fee to your most recently used credit card. From time to time, we may change the price of any Service or the usage fees for services currently offered for free. Any increase in fees will not apply until the end of your current billing cycle. You will not be charged for using any Service unless you select a paid subscription plan. If Zero One Touch collects GST, VAT, sales tax, or any similar tax ("Taxes") in accordance with local, state, provincial, or foreign laws concerning your subscription to our services, Zero One Touch will invoice you for such Taxes. You agree to pay these Taxes in addition to the subscription fees. Zero One Touch will provide you with an invoice in accordance with applicable local, state, provincial, or foreign laws to assist you in claiming input tax credits for such Taxes.
Organization Accounts and Administrators
When you sign up for an account for your organization, you may designate one or more administrators. Administrators will have the right to configure the Services to suit your needs and manage end users in your organization’s account. If your organization’s account was created and configured by a third party on your behalf, that third party may have assumed the role of an administrator for your organization. Ensure you have a proper agreement with such third parties outlining their roles and restrictions as administrators of your organization’s account. You are responsible for (i) maintaining the confidentiality of your organization account password, (ii) appointing individuals as administrators authorized to manage your organization account, and (iii) ensuring that all activities in connection with your organization account comply with this Agreement. You understand that Zero One Touch is not responsible for managing or administering the Services for you.
Personal Information and Privacy
Personal information provided to Zero One Touch through the Service is subject to the Zero One Touch Privacy Policy. Your decision to use the Service indicates that you agree with the terms of the Zero One Touch Privacy Policy. You are responsible for maintaining the confidentiality of your username, password, and other sensitive information. You are responsible for all activities that occur under your user account and agree to notify us immediately of any unauthorized use of your account by emailing info@zeroonetouch.com or calling any of the numbers listed at https://zeroonetouch.com/contact/. We are not responsible for any loss or damage resulting from unauthorized access to and/or use of your account.
Communication from Zero One Touch
The Service may include certain communications from Zero One Touch, such as service announcements, administrative messages, and newsletters. You understand that these communications will be considered part of using the Services. As part of our commitment to providing you with complete privacy, we also offer you the option to opt out of receiving newsletters from us. However, you will not be able to opt out of receiving service announcements and administrative messages.
